These Terms of Service govern your use of the website and software application located at https://sellready.com and any related services provided by SellReady (the “Platform”).

By accessing https://www.sellready.com, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing the Platform or using any other services provided by SellReady.

We, SellReady, reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page and notify you by email using the email address associated with your account. Any changes to these Terms of Service will take effect immediately from the date of publication.

Overview of our Service

SellReady aims to speed and smooth property transactions by facilitating better communication, co-ordination and data sharing between participating realtors, attorneys, lenders, developers and other service providers (together “Professionals”), and buyers, sellers and borrowers (together “End Users”), during property and mortgage transactions. SellReady also provides End Users with direct access to the Platform to track their transactions, submit documents, communicate with Professionals, and access their transaction information. 

Information about each transaction is shared with Professionals and End Users who are participating on a transaction (“Participants”) . This information may include personal information about the End Users.  Only End Users who are parties to the transaction and service providers who are acting for an End User or lender are entitled to be Participants on any transaction.   Non-participants can request access to a transaction but must be approved by an existing Professional Participant.   Every Professional Participant can add and approve new Participants.   All Participants can see common documents and data associated with the transaction and communicate with each other on the SellReady platform. Professional Participants can also communicate privately and share confidential documents privately with End Users and other Professional Participants.  All users within each Participant organisation get the same access to transaction data.  SellReady is designed to be a secure vault for long-term data storage so all Participants can access transaction information when they need it in future.

Limitations of Use

By using the Platform, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

• modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on the Platform;
• remove any copyright or other proprietary notations from any materials and software on the Platform;
• transfer the materials to another person or "mirror" the materials on any other server;
• knowingly or negligently use the Platform or any of its associated services in a way that abuses or disrupts our networks or any other service SellReady provides;
• use the Platform or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
• use the Platform or its associated services in violation of any applicable laws or regulations;
• use the Platform in conjunction with sending unauthorised advertising or spam;
• harvest, collect, or gather data without the data owner’s express consent; or
• use the Platform or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of buyers, sellers or third parties.

If you or your users violate any of our terms of service, we reserve the right to suspend or terminate your account or take any remedial or preventative action we deem appropriate without notice.

Intellectual Property

The intellectual property in the materials contained in the Platform are owned by or licensed to SellReady and are protected by applicable copyright and trademark law.

Licenses

You retain any ownership you have in data you enter or upload to the Platform. You grant us a non-exclusive, irrevocable, transferable, sub-licensable, royalty-free, and worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of any data you enter or upload to the Platform for the purposes of providing and improving SellReady products and services.

Publicity

You grant us the right to identify you and your organisation to other users who are logged in to SellReady platform for the purposes of enabling other organisations to communicate and share information with you. You also grant us the right to share any contact information you have provided to the SellReady platform with other users.    Any other public communication about your use of SellReady must be approved in writing by both you and us.

Privacy and Data Protection

The SellReady Data Processing Agreement (the “DPA”) is hereby incorporated into these Terms of Service.

Fees

You agree to pay the fees in accordance with the pricing schedule set out within the Platform.  Fees are payable in the currency specified and are not refundable for any reason.

You agree to the issue and acceptance of invoices in electronic format. You will provide us with credit or debit card details within the Platform. We will issue an invoice to the billing email address specified for your organisation in the Platform and collect payment using the stored payment method immediately upon completion of each transaction.

It is your responsibility to maintain accurate and up-to-date billing details. If you fail to maintain accurate and up-to-date billing details, your account may be suspended until such details are provided. If you are overdue on any Fees, we may: (i) charge a late fee on the unpaid balance at the lesser of 1.5% per month or the maximum lawful rate permitted by applicable law, (ii) suspend your access to SellReady and (iii) terminate your access to SellReady.

Liability

The Platform and the materials on the Platform are provided on an 'as is' basis. To the extent permitted by law, SellReady makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

In no event shall SellReady or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use the Platform or the materials on the Platform, even if SellReady or an authorised representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, "consequential loss" includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Feedback

If you provide us with ideas, suggestions, or proposals to improve our products or services you grant us a non-exclusive, irrevocable, transferable, sub-licensable, royalty-free, and worldwide license to incorporate your ideas, suggestions, or proposals into our products and services in any manner without any restriction or further obligation to you.

Accuracy of Materials

The materials appearing on the Platform are not comprehensive and are for general information purposes only. SellReady does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on the Platform, or otherwise relating to such materials or on any resources linked to the Platform.

Links

SellReady has not reviewed all of the sites linked from the Platform and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval or control by SellReady of the site. Use of any such linked site is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.

Right to Terminate

We may suspend or terminate your right to use the Platform and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service.

Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Ireland. You agree that the Irish courts shall have exclusive jurisdiction in any dispute arising from your use of our services.
